By filling out the form to become a member of JournalList, Inc., the applicant individual or company, including its Affiliates (as defined in the Bylaws, and with respect to those provisions that are applicable to such Affiliate) (hereinafter “Applicant”), agrees to be bound by the terms hereof, as well as the terms and conditions stated in the Certificate of Incorporation, Bylaws, and Intellectual Property Rights Policy, as set forth in the Bylaws, (collectively, and including any amendments thereto, the “Organizational Documents”), and any other policies and procedures that the Board of Directors (the “Board”) of JournalList, Inc. (“JournalList”) adopts that are applicable to participation in JournalList as a Member. By way of this website, the Applicant has received copies of the Organizational Documents, as well as any policies or procedures adopted by the Board. Applicant acknowledges that the Organizational Documents, as well as this Participation Agreement, govern the Applicant’s status and conduct as a Member of JournalList. Applicant and JournalList acknowledge and agree that any activity of JournalList will be conducted pursuant and subject to JournalList’s duly adopted Bylaws, including the Intellectual Property Rights Policy contained therein, a version of which has been made available to all Members. In addition, Applicant hereby grants to JournalList the right to reproduce, use and display Applicant’s company name (or individual name if Applicant is an individual) and logo in the course of the business and operations of JournalList, subject to the terms and conditions of Article 14 and Article 15 of the Bylaws.
This Participation Agreement is not binding on JournalList unless accompanied by the applicable Membership Fees associated with the Applicant listed above. If Applicant is an entity, the individual executing this Participation Agreement on behalf of the Applicant company warrants that he or she has all requisite signing authority for and on behalf of the entity seeking entry.
Membership Fees. The term of participation in JournalList for the membership described above shall be on a year-to-year basis, expiring on the 365th day from the date of acceptance of this application (“Renewal Date”). JournalList will automatically bill the Applicant for the fees quarterly or yearly basis. Member’s payment thereof shall constitute a renewal of membership as a participant in JournalList as a Member.
Failure to make a timely renewal payment shall be cause for suspension and termination of this Participation Agreement and all benefits afforded to Member under the Organizational Documents. The Applicant agrees that once accepted, all Membership Fees are nonrefundable for any reason, including termination of this Participation Agreement by either party. There is no duty to renew this Participation Agreement and renewal may only be accomplished as set forth above.
Any claim or dispute arising under or relating to this Participation Agreement shall be governed by the internal substantive laws of the State of Delaware, without regard to principles of conflict of laws.
Applicant must provide the contact information requested. Please note, if Applicant is an individual, Applicant does not need to provide a company name. Any capitalized terms used but not defined in this Participation Agreement shall have the meaning ascribed to them in JournalList’s Bylaws.
